These Terms & Conditions explain how Clickyra provides digital marketing services, what we expect from clients, and the rules that apply when you use our website, proposals, campaigns, reports, and related services.
Introduction
These Terms & Conditions govern your access to and use of services provided by Clickyra, including strategy, search engine optimization, paid media, content marketing, email marketing, social media marketing, analytics, conversion optimization, and website design or development services.
References to “Clickyra,” “we,” “us,” and “our” mean Clickyra and its authorized team members. References to “client,” “you,” and “your” mean the person or entity receiving or using our services.
Acceptance of Terms
You accept these Terms when you use our website, submit information through our forms, approve a proposal, sign an agreement, pay an invoice, or otherwise engage Clickyra to perform work.
- Any signed proposal or statement of work may include additional project-specific terms.
- If there is a conflict, the signed project document controls for that specific engagement.
- Continued use of our services after updates means you accept the revised Terms.
Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement. If you use our services for a business, you represent that the business is properly formed, authorized, and able to perform its obligations under these Terms.
Services Provided
Clickyra provides digital marketing and growth services based on the scope confirmed in a proposal, statement of work, written email approval, or service agreement.
- Digital strategy, audits, campaign planning, and growth consulting.
- SEO, technical optimization, content planning, and performance reporting.
- Paid advertising campaign setup, management, testing, and optimization.
- Website, landing page, conversion, analytics, and tracking support.
- Email, social, influencer, and content marketing execution where agreed.
Marketing results depend on market conditions, budget, competition, offer quality, audience behavior, platform changes, and client responsiveness. We do not guarantee specific rankings, revenue, leads, conversion rates, or advertising returns.
Client Responsibilities
Strong outcomes require timely access, accurate information, and clear approvals from the client. Delays in materials, feedback, or platform access may affect deadlines, campaign performance, and delivery schedules.
Client Responsibilities
You agree to provide everything reasonably required for Clickyra to perform the services, including:
- Accurate business, product, pricing, audience, and compliance information.
- Timely access to websites, analytics, ad accounts, CRM tools, CMS platforms, and brand assets.
- Prompt review of deliverables, campaign drafts, reports, requests, and approvals.
- Confirmation that your claims, offers, promotions, and materials are lawful and accurate.
- Payment of media spend, software fees, hosting costs, and third-party charges unless otherwise agreed.
Payment Terms
Fees, billing frequency, payment methods, due dates, retainers, deposits, and media budget handling are defined in the applicable proposal or invoice.
Payments & Billing
You agree to pay all fees listed in the applicable proposal, invoice, or agreement. Unless stated otherwise, invoices are due upon receipt or according to the due date shown on the invoice.
- Late payments may pause active work, reporting, launches, or account management.
- Recurring retainers are billed in advance unless a written agreement states otherwise.
- Ad spend, platform fees, plugins, subscriptions, and third-party costs are separate from Clickyra service fees.
- Chargebacks, disputed payments, or unpaid balances may result in suspension or termination of services.
Refund Policy
Because Clickyra provides strategy, creative, technical, and campaign management services, fees for completed work, booked time, active retainers, audits, setup work, and delivered materials are non-refundable unless otherwise required by law or expressly stated in writing.
If a project is cancelled before completion, you remain responsible for all work performed, committed resources, approved expenses, and third-party costs incurred up to the cancellation date.
Intellectual Property
Unless otherwise agreed, Clickyra retains ownership of its pre-existing methods, templates, frameworks, tools, internal processes, know-how, and reusable systems. After full payment, you receive ownership of final client-specific deliverables created exclusively for you, excluding Clickyra’s pre-existing materials and third-party assets.
- You retain ownership of your brand assets, trademarks, content, data, and account materials.
- Clickyra may use anonymized learnings to improve internal processes and service quality.
- Third-party assets remain subject to their own licenses, platform terms, and usage restrictions.
Confidentiality
Each party may receive confidential business, marketing, technical, financial, or customer information. Both parties agree to use reasonable care to protect confidential information and to use it only for purposes related to the services.
Confidentiality obligations do not apply to information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.
Third-Party Services
Our work may involve platforms such as Google, Meta, LinkedIn, TikTok, WordPress, Shopify, HubSpot, Mailchimp, analytics tools, hosting providers, payment processors, plugins, and other third-party services.
Clickyra is not responsible for outages, policy changes, account restrictions, data loss, pricing changes, tracking limitations, rejected ads, algorithm updates, or service interruptions caused by third-party platforms.
Limitation of Liability
To the maximum extent permitted by law, Clickyra’s liability is limited to the amount paid by the client for the specific services giving rise to the claim during the three months before the event occurred.

Clickyra will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, loss of goodwill, or failed campaign outcomes.
This limitation applies whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory, even if Clickyra has been advised of the possibility of such damages.
Indemnification
You agree to defend, indemnify, and hold Clickyra harmless from claims, damages, losses, liabilities, costs, and expenses arising from your business operations, materials, products, services, legal compliance, customer claims, platform violations, or breach of these Terms.
Account Suspension & Termination
Clickyra may suspend or terminate services if you fail to pay invoices, provide required access, comply with applicable laws, respond to essential requests, or follow platform policies. We may also decline or end work that creates legal, ethical, security, or reputational risk.
Upon termination, you remain responsible for all unpaid fees, approved expenses, committed third-party costs, and work completed through the termination date.
Disclaimer of Warranties
Services are provided on an “as available” and professional-efforts basis. Clickyra does not warrant that campaigns will be uninterrupted, error-free, profitable, or accepted by every third-party platform.
We disclaim all warranties not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent allowed by law.
Governing Law
These Terms are governed by the laws specified in your signed agreement or statement of work. If no governing law is specified, the applicable law will be determined by the principal business location identified by Clickyra in the relevant client agreement, without regard to conflict-of-law rules.
Changes to Terms
Clickyra may update these Terms from time to time to reflect service changes, legal requirements, platform developments, or operational improvements. The updated version will be identified by the “Last Updated” date on this page.
Your continued use of our website or services after updated Terms are posted means you accept the revised Terms.
